Terms of Use

1. Acceptance of these Terms

These Terms of Use ("Terms") form a binding agreement between you and Adsun Electronic Advertising and Brand Distribution Company LLC ("Adsun", "we", "us"), a company registered in Georgia. They govern your access to adsun.io, the advertiser and publisher dashboards, the Adsun SDK, APIs, bot integrations and all related services (the "Services").

By creating an account, ticking the acceptance box, or using the Services, you confirm that you have read, understood and agree to these Terms and our Privacy Policy. If you act on behalf of a company, you confirm you are authorised to bind it. If you do not agree, do not use the Services.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into contracts. You agree to provide accurate, current information and keep it up to date.

• You are responsible for all activity under your account and for keeping your credentials and API tokens confidential.
• One person or entity may not create multiple accounts to circumvent limits, reviews or suspensions.
• Notify us immediately at contact@adsun.io of any unauthorised access.

3. The Services

Adsun is an independent advertising network that connects advertisers with publishers operating Telegram Mini Apps, bots and channels. Adsun is not affiliated with, endorsed by or operated by Telegram.

We may add, change, suspend or discontinue any feature at any time. We do not guarantee any specific number of impressions, clicks, conversions, revenue, fill rate or campaign results.

4. Advertiser terms

Advertisers fund their account balance in advance and launch campaigns that are charged according to the pricing model shown in the dashboard (for example CPM or CPC).

• All creatives, links and landing pages are subject to review and may be rejected, paused or removed at our discretion.
• You are solely responsible for your ads and confirm you hold all rights, licences and approvals needed to run them.
• Delivery statistics recorded by Adsun's systems are final and binding for billing purposes.

5. Payments and no-refund policy

All deposits and payments made to Adsun are final and non-refundable. Funds added to an advertiser balance, including deposits made in cryptocurrency, cannot be withdrawn, reversed, refunded or exchanged for cash, in whole or in part, for any reason, including unused balance, campaign rejection, account closure, suspension or termination.

• Account balance may only be used to purchase advertising through the Services.
• You are responsible for sending the correct amount, asset and network. Payments sent to a wrong address or network may be lost and cannot be recovered.
• Chargebacks or payment disputes initiated without first contacting us may result in immediate account suspension.
• You are responsible for any taxes, fees or charges applicable to your payments.

6. Publisher terms

Publishers integrate Adsun ad blocks or bot placements and earn revenue based on valid traffic as measured by Adsun.

• Only genuine human traffic qualifies. Bots, scripts, incentivised clicks outside approved reward formats, self-clicking, emulators, proxies or any artificial inflation are strictly prohibited.
• We may withhold, adjust or cancel earnings associated with invalid or suspicious traffic and may suspend the account.
• Payout methods, minimum thresholds and schedules are shown in the publisher dashboard and may change with notice.

7. Prohibited content and conduct

You may not use the Services to promote or engage in:

• Illegal products or services, fraud, scams, phishing, malware or deceptive practices.
• Adult or sexually explicit content, hate speech, violence or content harmful to minors.
• Infringement of intellectual property, privacy or other third-party rights.
• Reverse engineering, scraping, overloading or interfering with the Services or other users.
• Any activity that violates applicable law or Telegram's terms and policies.

8. Intellectual property

The Services, the Adsun name, logos, software, SDK and content are owned by Adsun or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use them solely as permitted by these Terms.

You retain ownership of your content and grant Adsun a worldwide, royalty-free licence to host, display and distribute it as needed to provide the Services.

9. Suspension and termination

We may suspend or terminate your account at any time, with or without notice, if we believe you have breached these Terms or pose a risk to Adsun, users or partners. In accordance with Section 5, remaining advertiser balances are not refundable upon suspension or termination.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Adsun shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim shall not exceed the fees you paid to Adsun in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Adsun, its directors, employees and partners from any claims, losses and expenses (including legal fees) arising from your content, your use of the Services or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of Georgia. Any dispute shall first be addressed in good faith by contacting contact@adsun.io. If not resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date shows the latest version. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
